What does a company secretary actually do?
A company secretary supports a company in meeting its statutory and administrative obligations. That includes maintaining statutory registers and records, preparing resolutions and board documentation, organising and minuting meetings, and making the filings a company is required to make.
In practice, the role is about making sure the company’s corporate housekeeping is accurate, current and properly documented, so that directors can make decisions on a sound footing.

Our statutory records have not been kept up to date. What now?
This is a common position and it is resolvable. We review what exists, identify what is missing or out of date, and work through bringing the records and filings back into order. We will tell you plainly what is involved before starting.
Can you handle changes to directors and shareholders?
Yes. We support changes relating to directors, shareholders and company particulars, including the documentation and filings such changes require.
What compliance support do you provide on an ongoing basis?
We help clients understand, manage and monitor their corporate compliance responsibilities, keeping track of recurring obligations, preparing the associated documentation, and prompting you ahead of what is due.
Governance
We are a smaller company. Is a governance framework relevant to us?
Yes. Governance is not only for large organisations. Clear decision-making, proper records and defined responsibilities make a small company easier to run, easier to finance and easier to sell. We scale the framework to the organisation rather than imposing a corporate structure that does not fit.
What does governance advisory involve in practice?
It varies with the organisation. It may mean developing a governance framework, supporting the board and its committees, drafting governance policies and procedures, reviewing existing practices, or advising directors and management on their responsibilities.
